1. Agreement to Terms

By accessing or using Grouped's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Use License

Permission is granted to temporarily access and use Grouped's services for personal, non-commercial use only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or public display
• Attempt to decompile or reverse engineer any software on our platform
• Remove any copyright or proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Grouped at any time.

3. User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Research Participation

Grouped serves as a platform connecting users with research opportunities. By using our services:

• You acknowledge that participation in any research study is voluntary and subject to the study's own terms and conditions
• You agree to provide accurate information when applying to research studies
• You understand that payment for research participation is determined by the research organization, not Grouped
• You agree to attend scheduled appointments and notify researchers of any cancellations promptly
• You understand that researchers have the right to screen and reject applicants based on study criteria

5. Payments and Fees

Grouped does not directly pay users for research participation. Payments are made by the research organizations conducting the studies. While we facilitate payment processing, we are not responsible for payment delays or disputes between users and research organizations. Any fees for using our platform will be clearly communicated before charging your account.

6. Prohibited Uses

You may not use our services:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To spam, phish, pharm, pretext, spider, crawl, or scrape
• To interfere with or circumvent the security features of the service

7. Intellectual Property

The service and its original content, features and functionality are and will remain the exclusive property of Grouped and its licensors. The service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Grouped.

8. Disclaimer

The materials on Grouped's platform are provided on an 'as is' basis. Grouped makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

9. Limitations of Liability

In no event shall Grouped or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use our services, even if Grouped or an authorized representative has been notified orally or in writing of the possibility of such damage.

10. Indemnification

You agree to defend, indemnify and hold harmless Grouped and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from: (i) your use of and access to the service; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the service will immediately cease. If you wish to terminate your account, you may simply discontinue using the service or contact us to request account deletion.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Massachusetts, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms.
